Bio

Luca’s principal areas of practice include Capital Markets, Corporate and Commercial Law and Mergers and Acquisitions. In the Capital Markets space, Luca has accumulated years of experience in the local capital markets industry having acted as legal advisor to several public listed companies in connection with the admission to listing of debt securities on the Official List of the Malta Stock Exchange and private placements, assisting clients with all pre-listing formalities, including corporate re-organisations and the carrying out of legal due diligence, advising on and drafting of all required legal and corporate documentation, and advising upon all matters concerning corporate governance and compliance with continuing obligations. Luca continues to handle complex transactions in relation to public companies listed on the Official List of the Malta Stock Exchange and also, more recently, in relation to listing of debt instruments on the second-tier Prospects MTF Market. Luca’s expertise also covers on-going legal advice to listed client companies as well as acting as company secretary to Boards of Directors and Audit Committees of such public listed entities, resulting in profound and up-to-date understanding of regulatory compliance and corporate governance matters.

Luca has, over the years, also acquired vast experience in large-scale Mergers and Acquisitions, comprising both local and cross-border transactions, and in a wide spectrum of corporate, commercial and privatisation matters, advising both the Government of Malta and private local and international investors alike.

Education & Court Admissions

Luca graduated Bachelor of Arts and Doctor of Laws from the University of Malta in 2007. He furthered his studies at University College London where he obtained a Master of Laws degree in International Business Law. While pursuing his studies, Luca also carried out a six-month in-service training period with the Cabinet of Commissioner Joe Borg of the European Commission. He was called to the Bar in January 2009.
